INTEGRITES acted as a lead legal counsel to one of the sellers of Kyiv-Atlantic Ukraine, a big agricultural group in Ukraine.

The transaction was complex, as the sale of the group of companies was subject to the restructuring of a loan with one of the biggest Ukrainian banks. INTEGRITES advice involved (i) transaction structuring and negotiations on the English law SPA, which included two buyers, two sellers and three underlying companies, including a JSC; (ii) structuring the payment of the purchase price via escrow account at Ukrainian banks, the legal framework for which has just recently been established; (iii) sale distribution process agreement between the shareholders and third-party creditors; and (iv) restructuring of the loan and its consequent sale to the purchaser.

The transaction was supervised by Dr. Oleksiy Feliv, Managing Partner at INTEGRITES. Taking into account that the transaction required advice of different practice groups, INTEGRITES transaction team included Anton Babak, Senior Associate (Corporate and M&A), Viktoriya Fomenko, Counsel and Konstantin Kharchenko, Associate (both Tax and Customs), Olena Savchuk, Associate (Banking and Finance); Pavlo Loginov, Counsel and Andrii Lasikov, Associate (both Antitrust and Competition); Volodymyr Pavlenko, Partner and Anastasiia Nesterenko, Associate (both Litigation).

“I would like to express my gratitude to the whole INTEGRITES team that worked on the project, ensuring comprehensive and timely legal advice at every step of the transaction. We faced many challenges and I was proud to see the team finding proper solutions. The professional approach and teamwork inevitably lead to the successful completion of the complex transaction,” said Mr. David D. Sweere, the founder of Kyiv-Atlantic Ukraine.

“Indeed, it was a very complex transaction involving different aspects and legal practices. We are happy to see the transaction successfully completed and the client satisfied with the results,” highlighted Dr. Oleksiy Feliv, Managing Partner at INTEGRITES.

On the investment side, INTEGRITES was professionally supported by VI2Partners who negotiated with the bank restructuring of the loan and its assignment to the purchaser on behalf of the Client.
