INTEGRITES Advised Cohen Circle In Connection With Kyivstar’s Successful Listing On Nasdaq

INTEGRITES acted as Ukrainian legal counsel to Cohen Circle Acquisition Corp. I in the recently completed business combination with JSC Kyivstar, Ukraine’s leading telecommunications operator. As a result of the transaction, Kyivstar is now publicly listed on the Nasdaq Stock Market under the ticker symbol KYIV.

The deal was structured through a special purpose acquisition company (SPAC) transaction, with Cohen Circle partnering with VEON Ltd., the majority shareholder of Kyivstar. The business combination was finalised in August 2025 following an approval from Cohen Circle’s shareholders.

INTEGRITES provided comprehensive legal support related to Ukrainian law, including corporate structuring, regulatory compliance, contractual matters, and transactional due diligence. The firm worked closely with Morgan, Lewis & Bockius LLP as lead counsel throughout all stages of the process.
